Vendor Terms
These Vendor Terms and Conditions (the "Terms") govern the relationship between CMNEX ("Company") and vendors ("Vendor" or "You") who use our platform to offer or integrate services/products. By registering as a vendor with CMNEX, you agree to comply with these Terms.
1. Vendor Registration
Vendors must provide accurate and up-to-date information during registration, including business name, contact information, and payment details.
CMNEX reserves the right to approve, deny, or revoke vendor registration at its sole discretion.
2. Compliance with Laws and Policies
Vendors must comply with all applicable local, national, and international laws, regulations, and industry standards.
Vendors must adhere to CMNEX policies, including but not limited to content guidelines, acceptable use, and prohibited activities.
3. Service Standards
Vendors are expected to deliver products or services in a professional and timely manner as outlined in their agreements with customers.
Vendors must promptly address customer complaints and provide reasonable resolutions.
4. Payments and Fees
Vendors agree to pay any applicable fees or commissions to CMNEX as outlined in the vendor agreement.
All payments and commissions are final and non-refundable.
Vendors are responsible for managing their own taxes, duties, and financial obligations.
5. No Refund Policy
Vendors are not entitled to refunds for fees, commissions, or any other payments made to CMNEX.
Any disputes regarding transactions must be resolved directly between the Vendor and their customer, unless otherwise agreed by CMNEX.
6. Intellectual Property
Vendors grant CMNEX a non-exclusive license to use their brand name, logo, and product details for promotional purposes.
Vendors must ensure they own or have rights to all content, products, or services offered through CMNEX.
7. Termination of Agreement
CMNEX may suspend or terminate the Vendor’s account for breach of these Terms or any illegal, fraudulent, or unethical activity.
Vendors may terminate their agreement with CMNEX by providing 30 days' written notice.
Upon termination, vendors must fulfill all outstanding obligations to customers and CMNEX.
8. Limitation of Liability
CMNEX is not liable for any direct, indirect, or consequential damages arising from the Vendor’s use of the platform.
Vendors are solely responsible for disputes, claims, or issues arising from their products or services.
9. Confidentiality
Vendors agree to maintain the confidentiality of any proprietary or sensitive information shared by CMNEX.
This obligation remains in effect even after termination of the agreement.
10. Modifications to Terms
CMNEX reserves the right to modify these Terms at any time.
Vendors will be notified of any significant changes, and continued use of the platform constitutes acceptance of the updated Terms.
11. Governing Law
